1. About CTR Imports

CTR Imports Pty Ltd (ABN 53 085 831 670) ("CTR Imports", "we", "us", "our") is a wholesale furniture supplier operating from Unit 1, 29 Amax Avenue, Girraween NSW 2145, Australia. We supply lifestyle furniture to trade customers including retailers, interior designers, and commercial specifiers throughout Australia.

2. Trade Customers Only

CTR Imports operates on a business-to-business (B2B) basis only. By placing an order or submitting a trade enquiry, you confirm that you are acting in the course of a business and not as a consumer. These Terms & Conditions form the basis of every contract between CTR Imports and its trade customers.

3. Orders & Acceptance

All orders are subject to acceptance by CTR Imports. Receipt of an order confirmation does not constitute acceptance. A binding contract is formed only when CTR Imports issues a formal written order acknowledgement. We reserve the right to decline any order at our discretion without liability.

• Minimum order quantities may apply to certain product lines.
• Product specifications, dimensions, and finishes are subject to change without notice.
• Images are representative only; natural materials may vary in colour and grain.

4. Pricing & Payment

All prices quoted are in Australian Dollars (AUD) and exclude GST unless otherwise stated. CTR Imports reserves the right to adjust pricing at any time. Payment terms are as agreed in writing with your account manager. Standard terms are EFT prior to dispatch unless EOM credit terms have been approved in writing.

• Approved account holders: payment due end of month following invoice.
• New customers: payment in full prior to dispatch.
• Late payments may attract interest at the rate prescribed under the Penalty Interest Rates Act 1983 (Vic) or equivalent.

5. Delivery

CTR Imports delivers throughout Australia. Delivery timeframes are estimates only and we accept no liability for delays caused by shipping carriers, customs, or circumstances beyond our reasonable control. Risk in goods passes to the customer upon dispatch from our Girraween warehouse.

6. Title to Goods

Title to goods does not pass to the customer until payment is received in full. Until title passes, the customer must store goods separately, identifiable as CTR Imports property, and must not sell, encumber, or deal with the goods in any way that would prejudice our security interest.

7. Limitation of Liability

To the fullest extent permitted by law, CTR Imports' liability for any claim arising from these Terms is limited to the invoice value of the relevant goods. We exclude all implied warranties and conditions except those which cannot be excluded under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)).

Nothing in these Terms limits or excludes any guarantee, warranty, or right that cannot be excluded under applicable law, including non-excludable consumer guarantees under the Australian Consumer Law where applicable.

8. Website Use

By accessing and using the CTR Imports website ("Website"), you agree to be bound by these Terms. All content on this Website — including text, images, product photography, logos, and the overall design — is owned by or licensed to CTR Imports Pty Ltd and is protected by Australian copyright law. You may not reproduce, distribute, or exploit any content without our prior written consent, except for personal, non-commercial viewing.

We endeavour to keep product information, pricing, and availability up to date, but we do not warrant its accuracy or completeness. Prices shown are indicative only; final pricing is confirmed by your account manager. This Website may contain links to third-party websites for convenience only; we are not responsible for their content or privacy practices. This Website does not use advertising or third-party tracking and analytics cookies. It uses only functional browser storage that is necessary for features such as signing in to your trade account and saving products — see the Privacy Policy below for details.

9. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.

CTR Imports Pty Ltd is committed to protecting your privacy in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). This policy explains how we collect, use, store, and disclose personal information.

Information We Collect

We collect personal information necessary to conduct our wholesale business, including:

• Contact details: name, email address, phone number, business address.
• Business information: ABN, trading name, account and order history.
• Technical data: limited information such as your IP address and browser type, which the third-party services that host and deliver this Website may log as a normal part of serving and securing web requests. We do not run analytics, advertising, or page-tracking tools on this Website.

We collect information directly from you when you submit an enquiry, place an order, or browse our website. We do not knowingly collect personal information from individuals under 18.

How We Use Your Information

• Sending catalogues, product updates, and trade communications.

Cookies & Website Storage

This Website does not use tracking, advertising, or analytics cookies, and we do not build a profile of your browsing activity. We use a small amount of functional storage in your browser — only where it is needed for the site to work. This includes keeping you signed in to your trade account, remembering products you have saved, and remembering that you have entered the trade-access password. This information stays in your browser, is not used for marketing, and is not shared with advertising networks. You can clear or block this storage in your browser settings, but some features (such as logging in or saving products) may then stop working.

Disclosure of Information

We do not sell or rent your personal information to third parties. We may share information with:

• Freight and logistics providers for delivery purposes.
• Our accountants, lawyers, and other professional advisers.
• Government bodies where required by law.

Our trade accounts, enquiries, and product catalogue are hosted using Supabase, and some website content (such as fonts and images) is delivered through third-party content-delivery networks. Depending on the regions these providers use, your personal information may be stored or processed on servers located outside Australia. We take reasonable steps to ensure overseas recipients handle your information in a manner consistent with the APPs.

Data Security

We take reasonable steps to protect personal information from misuse, interference, loss, unauthorised access, modification, or disclosure. Our website uses HTTPS encryption. We review and update our security measures regularly.

Access & Correction

You have the right to request access to, or correction of, personal information we hold about you. To make a request, contact our Privacy Officer at sales@ctrimports.com. We will respond within 30 days.

Complaints

If you believe we have breached the APPs, please contact us in the first instance. If you are not satisfied with our response, you may lodge a complaint with the Office of the Australian Information Commissioner (OAIC) at oaic.gov.au.

Updates to This Policy

We may update this Privacy Policy from time to time. The current version is always available on this page. Continued use of our services after an update constitutes acceptance of the revised policy.

Returns Policy

Effective date: 1 January 2026

As a wholesale trade supplier, CTR Imports has a structured returns process. Please read this policy carefully before placing an order.

Damaged or Defective Goods

If goods arrive damaged or with a manufacturing defect, you must notify CTR Imports within 48 hours of delivery by emailing sales@ctrimports.com with:

• Your order number and invoice number.
• A description of the damage or defect.
• Clear photographs of the damage, packaging, and shipping labels.

Claims received outside this window may not be accepted. On approval of a valid claim, we will arrange replacement, repair, or credit at our discretion.

Incorrect Goods

If you receive goods different from what was ordered, notify us within 7 days of delivery with your order number and photographs. We will arrange collection and replacement at no cost to you.

Change of Mind

CTR Imports does not accept returns for change of mind on trade orders. All sales are final unless goods are damaged, defective, or incorrect as described above.

Australian Consumer Law

Nothing in this Returns Policy limits or excludes any rights you may have under the Australian Consumer Law. If a product fails to meet a consumer guarantee, you are entitled to a remedy. For trade customers, the Australian Consumer Law provides certain protections that we honour in full.

Returns Process

• Do not return goods without prior written authorisation (RMA number) from CTR Imports.
• Unauthorised returns will not be accepted and may be returned at the customer's expense.
• Approved returns must be in original packaging where possible.
• We will confirm return freight arrangements in writing.

Refunds & Credits

Approved refunds will be processed via EFT to the account from which payment was made within 14 business days of receiving and inspecting the returned goods. Account credits will be applied to the next invoice where agreed.
